Paramount clears major hurdle in $110 billion Warner Bros. deal

Paramount Skydance has reached an agreement with California and 11 other states that had sued to block the $110-billion deal with Warner Bros. Discovery. The agreement removes one of the main legal obstacles on the path to closing the deal.

The states had argued that the merger of the two major media companies would reduce competition. As part of the agreement, Paramount accepted several conditions. These include allocating additional funds for film and television production in California and maintaining a certain volume of film production. The company also agreed to protect the editorial independence of CBS and CNN.

The deal has already received approval from EU and UK regulators. Resolving the lawsuit was also important for Paramount in terms of timing. If the deal was not completed by September 30, the company would have had to pay Warner Bros. shareholders $7 million per day.
